Allgemeine Geschäftsbedingungen für Laplandar ApS, CVR 40948821
1. Allgemeine Informationen
Diese Allgemeinen Geschäftsbedingungen ("AGB") gelten für alle Verträge über den Verkauf, die Lieferung und den Service von Produkten, die von Laplandar ApS ("Laplandar"), CVR-Nummer 40948821, Adresse Staktoften 22A, 2950 Vedbæk, Dänemark, geliefert werden.
1.1. Definitionen
In diesen Bedingungen gelten die folgenden Definitionen:
Kunde: Jedes Unternehmen, das Produkte direkt von Laplandar kauft.
Händler: Ein Unternehmen, das Produkte für den Wiederverkauf, das Leasing oder die Vermietung erwirbt.
Produkte: Von Laplandar verkaufte elektrische Lastenfahrräder, Ladeboxen, Ersatzteile und Zubehör.
2. Geltungsbereich und Gültigkeit
2.1. Diese Bedingungen gelten für alle Angebote, Verkäufe und Lieferungen von Laplandar, sofern nichts anderes schriftlich vereinbart wurde.
2.2. Vom Kunden vorgelegte Bedingungen werden zurückgewiesen, es sei denn, sie werden von Laplandar ausdrücklich und schriftlich akzeptiert.
2.3. Diese Bedingungen gelten ausschließlich für Geschäftskunden (B2B). Mit der Bestellung bestätigt der Kunde, dass der Kauf im Rahmen einer unternehmerischen Tätigkeit erfolgt und keine Verbraucherrechte, wie z.B. Rücktrittsrechte, Gewährleistungsrechte oder sonstige verbraucherspezifische Rechtsschutzmöglichkeiten, gelten. Laplandar behält sich das Recht vor, einen Nachweis über die Unternehmereigenschaft des Kunden zu verlangen, wie z.B. eine Umsatzsteuer-Identifikationsnummer oder eine andere relevante Registrierung.
3. Produkte und Lieferung
3.1. Laplandar liefert elektrische Lastenräder, Zubehör und Ersatzteile.
3.2. Die Lieferung erfolgt entweder direkt vom Hersteller innerhalb der EU oder von unserem Lager in Schweden.
3.3. Sofern nichts anderes schriftlich vereinbart wurde, erfolgt die Lieferung "ab Werk" (Incoterms 2020). Der Kunde haftet für das Produkt ab dem Zeitpunkt der Abholung und ist für den Abschluss einer Transportversicherung verantwortlich, die eventuelle Schäden oder Verluste während des Transports abdeckt. Laplandar übernimmt keine Haftung für Schäden, Verluste oder Verzögerungen, die nach der Abholung des Produkts auftreten, es sei denn, es wurde schriftlich etwas anderes vereinbart.
3.4. Die Lieferzeiten sind Richtwerte und können von den Bedingungen der Lieferkette beeinflusst werden. Verzögerungen berechtigen den Kunden nicht zu einer Entschädigung.
3.5. Angebote von Laplandar sind bis zur schriftlichen Auftragsbestätigung unverbindlich und freibleibend.
4. Preise und Zahlung
4.1. Alle Preise verstehen sich, sofern nicht anders angegeben, zuzüglich Mehrwertsteuer und eventuell anfallender Abgaben.
4.2. Laplandar behält sich das Recht vor, die Preise im Falle von Änderungen von Zöllen, Mehrwertsteuer, Steuern oder anderen gesetzlichen Kosten anzupassen. Eine Preisanpassung kann auch aufgrund wesentlicher Änderungen der Rohstoffpreise, der Produktionskosten oder der Frachtkosten erfolgen. Solche Änderungen können ohne vorherige Ankündigung vorgenommen werden und gelten für alle nicht ausgelieferten Bestellungen.
4.3. Die Zahlungsbedingungen sind 8 Tage netto ab Rechnungsdatum, sofern nicht anders vereinbart.
Bei Bestellungen von vier (4) Fahrrädern oder weniger ist die vollständige Zahlung bei Auftragserteilung erforderlich.
Für Bestellungen von fünf (5) Fahrrädern oder mehr gilt folgendes Zahlungsmodell:
50% Vorauszahlung bei Auftragserteilung.
50% spätestens bei Lieferung.
Mit der Produktion und Lieferung wird erst nach Eingang der Vorauszahlung begonnen.
4.4. Late payments incur interest per month, as well as reminder and collection fees.
4.5. Ownership remains with Laplandar until full payment is received. The Customer may not resell, pledge, or modify the product without written permission.
5. Warranty and Claims
5.1. Laplandar provides a 12-month warranty on bikes from the invoicing date.
5.2. The warranty covers manufacturing defects but excludes wear and tear or damage due to misuse.
5.3. Claims must be submitted in writing within 8 days of defect discovery and must include:
A detailed description of the defect or deficiency.
Photographic documentation of the defective part or bike.
Information about usage and maintenance, including the date of product receipt and any repairs or adjustments made by the Customer.
Claims lacking proper documentation may be rejected.
5.4. The Customer pays for shipping of warranty claims unless otherwise agreed.
5.5. The warranty does not cover damage caused by misuse, overloading, off-road use, lack of service, or unauthorized repairs. Refer to Laplandar’s user manual at Laplandar.com for correct use and maintenance.
The Customer is responsible for correct installation of accessories and spare parts according to Laplandar’s user manual. Laplandar renounces all liability for damages caused by incorrect assembly.
Only minor repairs and adjustments, such as tire, tube, and brake pad replacements, may be performed by the Customer. Major repairs or any electrical or structural work must be carried out by an authorized workshop or a Laplandar-approved service partner. Laplandar renounces any liability for damage caused by incorrect installation.
5.6. The Customer must inspect the product for visible defects upon delivery. Any visible defects must be reported to Laplandar within 48 hours of delivery.
6. Limitation of Liability
6.1. Laplandar is not liable for indirect losses, including but not limited to, loss of business, loss of profit, or similar.
6.2. Laplandar's liability is limited to the value of the (by Laplandar) delivered goods.
6.3. The Customer is responsible for proper use and maintenance of the product.
6.4. Laplandar is not liable for damage resulting from misuse, modification of the product, or use of non-original spare parts.
7. Force Majeure
7.1. Laplandar is not liable for delays or failure to fulfill the agreement due to circumstances beyond our control, including natural disasters, war, pandemics, or supply issues.
7.2. In the event of force majeure, Laplandar may postpone delivery or cancel the order without liability. If the force majeure situation lasts more than 60 days, either party may cancel the agreement without compensation.
8. Termination
8.1. Laplandar may terminate the agreement with immediate effect if the Customer defaults on payment obligations.
8.2. The Customer has no right to cancel an order unless explicitly accepted by Laplandar in writing.
9. Personal Data
9.1. Laplandar processes customer data in accordance with GDPR.
9.2. Data is used for delivery, maintenance, and service improvement.

10. Governing Law and Disputes
10.1. All agreements are governed by Danish law.
10.2. Any disputes arising from these Terms shall be settled by the Copenhagen City Court under Danish law. Laplandar shall not be liable for indirect losses, including but not limited to, loss of business, profit, goodwill, data, or similar economic loss.
Laplandar is not liable for third-party claims resulting from the Customer’s use, resale, or modification of the products unless otherwise agreed in writing. The Customer is responsible for ensuring that products are used and resold in compliance with applicable laws in the relevant country.
Laplandar is only liable for product defects within the applicable warranty period. After this period, Laplandar assumes no responsibility for product functionality or any damages caused by the product.
10.3. Dispute Resolution and Arbitration
The parties must first attempt to resolve any disputes through negotiation. If no solution is reached within 30 days, the dispute shall be settled by arbitration according to the Rules of the Danish Institute of Arbitration. The arbitration tribunal shall be seated in Copenhagen, and the case shall be conducted in Danish. Notwithstanding the above, Laplandar may choose to bring debt collection cases and undisputed payment claims before the ordinary courts in Denmark.
10.4. Local Regulations and Customer Responsibility
Laplandar produces electric cargo bikes that meet EU standards. However, national and local regulations may vary. The Customer is responsible for ensuring the product complies with applicable laws in the country of use, including but not limited to, regulations on motor power, speed limits, battery standards, vehicle registration, and insurance. Laplandar disclaims any liability for legal consequences, fines, or restrictions resulting from non-compliance with national regulations. The Customer agrees to investigate and comply with all relevant laws before using the product.
11. Changes to Terms
11.1. Laplandar reserves the right to change these Terms without prior notice. The latest version will always be available on our website (Laplandar.com).
12. Service and Maintenance
12.1. The Customer is responsible for maintaining the bike according to Laplandar’s instructions. Failure to service may void the warranty.
12.2. Laplandar offers two optional service agreements: Standard and Premium. The Customer may choose to purchase or decline a service agreement. Without a service agreement, maintenance and repairs are the Customer’s responsibility according to Laplandar’s general warranty terms and liability disclaimer.
13. Returns and Refunds
13.1. Product returns require written agreement with Laplandar. Products must be returned in original condition and packaging. Laplandar reserves the right to reject returns if the product is deemed damaged by the Customer or used beyond normal inspection.
If a product is defective upon delivery, it may be returned at no cost to the Customer. All other returns are at the Customer's expense unless otherwise agreed in writing.
14. Brand Protection
14.1. The Customer may not use Laplandar’s name, logo, or trademark without written permission.
15. Product Liability and Usage
15.1. The Customer is responsible for the correct use of the product and may not alter or modify the bike without written approval from Laplandar.
15.2. Laplandar renounces any liability for damages caused by unauthorized modifications, misuse, or third-party use. Unauthorized modifications include both functional and design changes that affect the bike's form, structure, or performance. Laplandar further renounces liability for damages caused by self-built cargo boxes or boxes made by non-approved suppliers.
16. Special Conditions for Dealers
16.1. Dealers may purchase Laplandar products for resale. Unless otherwise agreed in writing, the following conditions apply:
16.2. Ownership of the products remains with Laplandar until the dealer has paid the full invoice amount.
16.3. Dealers may not resell products until full payment is received by Laplandar.
16.4. Dealers are responsible for forwarding Laplandar’s warranty terms to end customers and handling first-level customer service.
16.5. Unless otherwise agreed, the dealer bears the transport risk once the goods are collected or handed over to the carrier.
16.6. Unless otherwise agreed, delivery is "Ex Works" (Incoterms 2020) for dealers. The dealer bears the risk and cost of transport from the point of pickup.
16.7. Dealers are fully responsible for handling claims, product liability, and warranty obligations towards end customers. Laplandar only provides warranty and support to dealers and not directly to end customers unless otherwise agreed in a separate written agreement. Dealers cannot hold Laplandar liable for claims, damages, or losses raised by end customers against the dealer. Dealers are responsible for ensuring that end customers are informed about proper use, maintenance, and any warranty limitations.
